SoleSavy “State of the Sneaker Industry”

SURVEY CONTEST

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. OPEN ONLY TO
LEGAL RESIDENTS OF CANADA (WITH THE EXCEPTION OF QUEBEC) AND THE UNITED STATES
WHO ARE OVER THE AGE OF MAJORITY AS OF THE DATE OF SUBMISSION. BY ENTERING
THIS CONTEST, YOU REPRESENT THAT YOU SATISFY ALL OF THE ELIGIBILITY
REQUIREMENTS IN RULE ‎1 BELOW AND YOU ARE DEEMED TO HAVE READ AND TO AGREE TO
BE BOUND UNCONDITIONALLY BY THESE OFFICIAL RULES. VOID WHERE PROHIBITED BY
LAW.

This Contest is by SoleSavy Inc, a federal corporation, with a registered address at 321 Water Street,
suite 501, Vancouver, British Columbia, V6B 1B8, Canada( “SoleSavy”) and is open to any individual
who has completed the “State of Sneaker” Industry Survey (the “Survey”), and submitted their entry to the
Contest in the manner as described in Rule ‎4 (How to Enter) in accordance with these Rules (each an
“Entrant”). Any violation of these Rules may, at SoleSavy’s discretion, result in disqualification. All
decisions of the SoleSavy or judges regarding this Contest are final and binding in all respects. All entries
become the property of SoleSavy and will not be acknowledged or returned.

1. ELIGIBILITY

To be eligible for the Contest, Entrants must be, legal residents of Canada (with the exception of Quebec)
and the United States, excluding the province of Quebec; (b) eighteen (18) years or older at the time of
entry in their province or territory of residence, and (c) have a valid email account at the time of entry. be
Officers, directors, affiliates, subsidiaries, related companies, members, employees, and the family
members (i.e., parents, children, siblings, spouse) of SoleSavy and/or the immediate family of any of the
foregoing, adverting and contestal agencies, prize suppliers, or any other party associated with the
development or administration of this Contest are not eligible to participate in the Contest. Anyone who
fails to comply with these Rules or otherwise tampers with the entry process (for instance, signing up
twice to enter the Contest under different names or aliases to increase his/her chances of being selected)
will be automatically disqualified and ineligible for the Contest.

2. VERIFICATION

At any time, SoleSavy will have the right to request from any Entrant, proof of identity and/or eligibility to
participate. Failure to provide proof within a reasonable time or the provision of false or misleading
information could result in the Entrant’s disqualification. SoleSavy reserves the right to disqualify any
Entrants who, in SoleSavy’s sole discretion, do not comply with these Rules or who otherwise tamper with
the entry process.

3. CONTEST PERIOD

The Contest will open to Entrants on Friday, June 4th, 2021, at 8:00 AM (EST), and will run for three (3)
weeks, closing on Friday, June 25th, 2021, at 5:00 PM (EST), when all entries must be received (the
“Contest Period”). No submissions from Entrants will be considered after the expiry of the Contest
Period.
 
4. HOW TO ENTER

NO PURCHASE NECESSARY. To enter, Entrants must complete the Survey and provide a valid Email
address to be notified if the Entrant is potentially a Contest winner. Limit: One entry per person and one
entry per e-mail address during the Contest Period. All Entrant information, including names, telephone numbers, and e-mail addresses, is subject to SoleSavy’s privacy policies (see further: SoleSavy
https://www.SoleSavy.com/privacy-policy/ )

In the event of a dispute as to who submitted an electronic entry, the entry will be deemed to have been
submitted by the authorized account holder of the Email address associated with the entry. “Authorized
account holder” is defined as the natural person who is assigned an Email address by an Internet
access provider, online service provider, or other organization which is responsible for assigning Email
addresses or the domain associated with the submitted Email address.

5. SELECTION OF WINNER(S)

The odds of winning this Contest depend on the number of eligible entries received during the Contest
Period. Upon completion and closing of the Contest Period, five (5) Entrants will be selected by a random
draw from all eligible Entrants that completed the Survey and provided an email address.  Selected
Entrants will each be notified by email by Friday July 2nd, 2021. Each selected Entrant must respond to
the notification within twenty-four (24) hours of the notification being sent by SoleSavy. If a selected
Entrant, (a) cannot be contacted, (b) does not respond within the five (5) business days allotted for any
such selected Entrant to respond, (c) fails to return the Release as specified in Rule ‎7; (d) refuses the
Prize (as defined in Rule ‎6); and/or (e) the Prize or prize notification is returned as undeliverable, such
potential winner forfeits all rights to receive a Prize, and another entrant may be randomly selected from
the pool of eligible entries in SoleSavy’ sole discretion. SoleSavy shall be in no way responsible for an
Entrant’s failure, for any reason whatsoever, to receive notification of the same or for SoleSavy’s failure to
receive a selected Entrant’s response, including any changes in Entrant’s Email address submitted with
an Entrant’s entry. Before being declared a winner, the selected Entrant will be required to: (X) correctly
answer, without the assistance of any kind, whether mechanical or otherwise, a time-limited,
mathematical skill-testing question to be administered during a pre-arranged telephone call or by email;
(Y) comply with the Rules; and (Z) may be required to sign and return the Release (described below).
Once SoleSavy has determined that the selected Entrant has met all eligibility requirements of the Prize,
including without limitation the execution of required waivers, publicity, and liability releases and
disclaimers, such individual will be declared the “winner” of the Prize.

6. PRIZE(S)

There are six (6) prizes (the “Prize(s)”) available to be won, one (1) $500.00 gift card, and five (5)
$200.00 gift cards, all to the Winner’s local sneaker retailer of the Winner’s choosing. Winner(s) are not
entitled to monetary difference between actual Prize value and stated approximate Prize value if any.
Winners will be responsible for any expense not explicitly included in the Prize.

SoleSavy reserves the right, in its sole discretion, to substitute a prize of equal or greater value if a Prize
or any part thereof cannot be awarded for any reason. The Prize(s) are not transferable and not
redeemable for cash, will not be extended under any circumstances, and must be accepted as offered
without substitution.

Prize(s) will be delivered electronically by email within ten (10) business days after each potential winner
Entrant has been successfully contacted and fulfilled the requirements set out herein. SoleSavy shall not
assume any liability for a lost, damaged, or misdirected Prize.

7. RELEASE

Before being declared a winner, the selected Entrants for the Prize will be required to sign a declaration
of eligibility and release form (“Release”), as determined by SoleSavy in its sole discretion, that confirms
that the selected Entrant: (a) has complied and agrees to comply with these Rules, and is therefore
eligible to participate in this Contest; (b) accepts of the Prize as offered; (c) releases SoleSavy, and their
respective parent companies, subsidiaries, affiliates and/or related companies and each of their
employees, directors, officers, suppliers, agents, SoleSavys, administrators, licensees, representatives,
advertising, media buying and Contestal agencies and prize suppliers (collectively, the “Releases”) from any and all liability for any loss, harm, damages, cost or expense arising out of participation in the Contest
or the acceptance, use, or misuse of the Prize, including but not limited to costs, injuries, losses related to
personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy,
defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom; (d)
indemnifies the Released Parties from any and all losses that SoleSavy may incur arising out of any act
or omission by him/her in connection with the Contest or the Prize; (e) grants to SoleSavy, the
unrestricted right, in SoleSavy’s sole discretion, to produce, reproduce, publish, broadcast, communicate
by telecommunication, exhibit, distribute, adapt and otherwise use or re-use the winner’s name, image,
likeness, voice and biography, in any and all media now known or hereafter devised, in connection with
the Contest and the Contest and exploitation thereof. The executed Release must be returned within two
(2) business days of the date indicated on the Release form. If the Release form is not returned on
time or is returned as non-deliverable, or if the selected Entrant is Canadian and fails to answer
the skill-testing question correctly or is disqualified for any other reason, the Prize will be forfeited
and another Entrant will be randomly selected from the remaining eligible entries until the Prize is
successfully awarded.

8. DISCLAIMERS.

SoleSavy assumes no responsibility for and under no circumstances will SoleSavy, its agents,
employees, contractors and assigns be liable to any person or business entity for any direct, indirect,
special, incidental, consequential or other damages based on any Entrant’s participation in the Contest,
including for: (i) entries which are incomplete, unintelligible, lost, late or misdirected; (ii) technical failures
of any kind, including but not limited to failure of the Internet during the Contest Period, any problems,
failure or technical malfunction of any telephone network or lines, online or electronic systems, servers,
access providers, computer hardware or software, incomplete, garbled or delayed Internet/e-mail
computer transmissions on account of technical problems or traffic congestion on the Internet or at any
website, or any combination thereof or other failures related to hardware, software or virus; (iii)
unauthorized human intervention in any part of the entry process or the Contest; (iv) technical or human
error related to the administration of the Contest or the processing of entries; (v) any injury, loss or
damage of any kind which may be caused, directly or indirectly, in whole or in part, from participation in
the Contest by any Entrant, use or misuse of the Prize or any part thereof; (vi) any use of the Website or
any other website to which the Website is linked (including without limitation any injury or damage to an
Entrant’s or any other person's computer relating to or resulting from participation or downloading any
materials in this Contest); or (vii) any Entrant’s failure to abide by these Rules. If selected as a winner, the
Entrant agrees that his/her name may be used in any and all forms of media, without any further
compensation by SoleSavy, and waives all rights (including moral rights) with respect to printed,
broadcast, and other forms of publicity. The limitations of liability set out in this Rule ‎8 apply, without
limitation, to any lost profits, and will apply even if SoleSavy has been specifically advised of the
possibility of such damages.
9. CHANGES AND CANCELLATIONS.
SoleSavy reserves the right without prior notice, to cancel, terminate, modify or suspend the Contest if,
for any reason, the Contest is not capable of running as planned or if the administration, security,
fairness, integrity, or proper conduct of the Contest is corrupted or adversely affected, including by reason
of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any
other causes beyond its control.  In the event of cancellation of the electronic portion of the Contest,
SoleSavy may randomly select a winning entry from all eligible entries received prior to cancellation.
SoleSavy reserves the right to amend the Rules without prior notice if any factor interferes with the
proper conduct of the Contest as contemplated by these Rules. Should multiple users of the same email
account enter the Contest and a dispute thereafter arise regarding the identity of the Entrant, the
Authorized account holder of the said Email account at the time of entry will be considered the Entrant.

10. PRIVACY AND PERSONAL INFORMATION

Personal Information collected during the Contest will be used by SoleSavy and its authorized
representatives solely to conduct the Contest and award Prize(s). Such Personal Information will not be
used or disclosed for any other purpose unless required by law. SoleSavy will protect the Entrant’s
Personal Information in a manner that is consistent with the SoleSavy Privacy Policy at,
https://www.SoleSavy.com/privacy-policy/.

11. NO SOCIAL MEDIA ENDORSEMENTS.
The Contest is in no way SoleSavyed, endorsed, or administered by any social media platforms on which
the Contest may have been advertised. Any personal information provided by an Entrant is being
provided to SoleSavy Any questions or comments regarding the Contest must be directed to SoleSavy
and not to any of the social media platforms on which the Contest may have been advertised.

12. WAIVER OF MORAL RIGHTS.

By participating in the Contest, the winner(s) agree that his/her name may be used in any and all forms of
media, without any further compensation by SoleSavy, and waives all rights (including moral rights) with
respect to printed, broadcast and other forms of publicity.

13. GOVERNING LAW.

By participating in this Contest, you agree to be bound by these Rules. All decisions of the SoleSavy with
respect to any aspect of the Contest and these Rules, including, without limitation, the eligibility of entries
and the winners are final and binding on all Entrants. The laws of the Province of British Columbia,
excluding its provisions on conflict of laws, shall govern this Contest. All disputes arising out of or
connected with this Contest will be resolved individually, and without resort to a class action, exclusively
by a court located in Vancouver, British Columbia, Canada, with respect to any matter arising hereunder
or related hereto. These Rules state all of the terms and conditions governing the Contest.

14. CURRENCY.
All amounts and prize monies in these Rules are expressed in lawful Canadian (CAD) currency.
